The Challenge
A UK LegalTech company building Contract Lifecycle Management (CLM) SaaS for UK corporate legal teams and law firms (targeting GBP50M-GBP500M revenue companies with 5-50 lawyers) needed to build a CLM platform. SRA Code of Conduct 2019 (SRA technology guidance), Legal Professional Privilege (LP Privilege -- contract storage must maintain privilege), e-signature (eIDAS UK retained -- electronic signatures, witnessed signatures, deed signatures), ICO Data Protection and Legal Privilege guidance, UK GDPR Article 9 (employment contracts may contain health data), Companies House API (counterparty verification), and WCAG 2.1 AA were mandatory. Budget GBP130,000.

LP Privilege architecture
- 1privilege classification (each contract classified: privileged (solicitor-client communication), without privilege (commercial contract)),
- 2privilege access control (privileged contracts -- restricted to legal team only, not accessible to management without legal team authorisation),
- 3privilege audit log (every access to privileged contract logged -- solicitor can demonstrate privilege has been maintained),
- 4privilege breach alert (if management role accesses privileged contract without authorisation -- alert to General Counsel),
- 5privilege waiver workflow (if privilege is waived -- explicit waiver recorded, all future access no longer restricted).

Signature
UK e-signature law (eIDAS UK retained -- Electronic Identification and Trust Services Regulation): three levels of e-signature. (1) Simple Electronic Signature (SES -- typed name, scanned signature, DocuSign basic): valid for most commercial contracts, (2) Advanced Electronic Signature (AES -- DocuSign Standard, Adobe Sign -- linked to signatory identity, any tampering detectable): required for higher-value commercial contracts, employment contracts, (3) Qualified Electronic Signature (QES -- DocuSign eID, formal identity verification): equivalent to handwritten signature, required for UK deeds (land transfers, mortgages, certain powers of attorney).
