Step 01

The Challenge

A UK LegalTech company building Contract Lifecycle Management (CLM) SaaS for UK corporate legal teams and law firms (targeting GBP50M-GBP500M revenue companies with 5-50 lawyers) needed to build a CLM platform. SRA Code of Conduct 2019 (SRA technology guidance), Legal Professional Privilege (LP Privilege -- contract storage must maintain privilege), e-signature (eIDAS UK retained -- electronic signatures, witnessed signatures, deed signatures), ICO Data Protection and Legal Privilege guidance, UK GDPR Article 9 (employment contracts may contain health data), Companies House API (counterparty verification), and WCAG 2.1 AA were mandatory. Budget GBP130,000.

Step 02

Our Approach

Legal Professional Privilege and CLM

contracts stored in CLM must maintain LP Privilege where it applies.

LP Privilege architecture

  • 1privilege classification (each contract classified: privileged (solicitor-client communication), without privilege (commercial contract)),
  • 2privilege access control (privileged contracts -- restricted to legal team only, not accessible to management without legal team authorisation),
  • 3privilege audit log (every access to privileged contract logged -- solicitor can demonstrate privilege has been maintained),
  • 4privilege breach alert (if management role accesses privileged contract without authorisation -- alert to General Counsel),
  • 5privilege waiver workflow (if privilege is waived -- explicit waiver recorded, all future access no longer restricted).

ICO guidance

legally privileged information does not need to be disclosed in response to a Subject Access Request. eIDAS UK Retained e-

Signature

UK e-signature law (eIDAS UK retained -- Electronic Identification and Trust Services Regulation): three levels of e-signature. (1) Simple Electronic Signature (SES -- typed name, scanned signature, DocuSign basic): valid for most commercial contracts, (2) Advanced Electronic Signature (AES -- DocuSign Standard, Adobe Sign -- linked to signatory identity, any tampering detectable): required for higher-value commercial contracts, employment contracts, (3) Qualified Electronic Signature (QES -- DocuSign eID, formal identity verification): equivalent to handwritten signature, required for UK deeds (land transfers, mortgages, certain powers of attorney).

CLM signature workflow

  • 1contract creation,
  • 2internal approval workflow (conditional approval routes based on contract value and type),
  • 3signature routing (SES for standard contracts, AES for employment, QES for deeds),
  • 4counterparty e-signature (DocuSign Send -- counterparty receives email, signs digitally),
  • 5executed contract archiving (signed contract stored with signature certificate -- audit trail).

AI contract analysis in CLM

  • 1clause extraction (Anthropic Claude 200K context -- entire M&A agreement in one API call -- identify indemnity, IP assignment, limitation of liability, change of control clauses),
  • 2deviation analysis (compare extracted clauses against company playbook -- flag deviations),
  • 3risk scoring (AI risk score per clause -- high/medium/low -- prioritise lawyer review),
  • 4obligation extraction (what does each party have to do, by when? -- deadline tracking),
  • 5renewal alert (automatic alert 90 days before contract expiry -- with renewal recommendation).

SRA supervision requirement

AI analysis output clearly labelled as AI-generated -- solicitor review required before reliance.

ClickMasters SRA compliance

every AI output has a Review button (solicitor marks as reviewed, reviewed timestamp stored -- SRA audit trail).

Counterparty verification

  • 1Companies House API (verify counterparty is registered UK company -- company number, SIC code, filing history, PSC beneficial ownership),
  • 2sanctions screening (ComplyAdvantage API -- verify counterparty and directors are not on UK sanctions list -- OFAC, HMRC Sanctions, UN sanctions),
  • 3credit check (Experian Business Credit Score -- financial health of counterparty for high-value contracts),
  • 4PEP screening (ComplyAdvantage -- is any counterparty director a Politically Exposed Person?),
  • 5adverse media (ComplyAdvantage -- any negative news about counterparty).

Automated verification

all counterparty verification runs automatically when a new counterparty is added to the CLM -- result displayed to lawyer before contract is progressed.

Step 03

The Results

SRA compliance confirmed.

LP Privilege maintained.

Platform live at 22 weeks, GBP122,000. 280 corporate legal team and law firm customers.

AI clause extraction: 94.2% accuracy (vs human review gold standard).

Deviation detection: 88.4% of policy deviations flagged.

Contract cycle time: 28.4 days to 8.2 days.

Counterparty sanctions: 100% screened. e-signature: SES/AES/QES routing 100% correct.

WCAG 2.1 AA: confirmed.

AI clause extraction 94.2%.

Deviation detection 88.4%.

Contract cycle 28.4 to 8.2 days.

Counterparty sanctions 100% screened.

SRA confirmed.

LP Privilege maintained.

The 20-day reduction in contract cycle time -- 28 days to 8 days -- was not from the AI.

It was from the workflow automation.

AI analysis helped lawyers review contracts faster.

Workflow automation stopped contracts sitting in inboxes waiting for approval.

Both matter.

Technology that makes lawyers faster is valuable.

Technology that makes processes faster is more valuable. -- General Counsel, UK Mid-Market Company
