The Challenge
A UK top-20 commercial law firm with 420 fee earners completing 28,000 documents per year (NDAs, employment contracts, shareholder agreements, commercial leases) wanted to build a document automation platform — replacing manual template creation with intelligent document assembly. SRA document storage obligations, UK GDPR for client personal data in documents, Legal Professional Privilege data handling, and The Law Society's guidelines on AI in legal practice were the requirements. Budget: £130,000.
Our Approach
Template engine
HotDocs-replacement built on Docxtemplater (Node.js DOCX template engine).
Template logic
- conditional clauses (if English law, include Choice of Law clause
- if cross-border, include GDPR Article 46 transfer mechanism), variable substitution (party names, dates, governing law, jurisdiction), and nested template fragments (insert relevant boilerplate clauses based on deal type).
Template library
148 templates across 12 practice areas, migrated from HotDocs legacy system.
Legal AI Clause Library
AI-assisted clause selection: Anthropic Claude API (RAG over firm's precedent library) — suggest appropriate clauses for deal-specific requirements.
Lawyer review required
every AI-suggested clause reviewed by qualified solicitor before insertion — no automated clause selection.
AI disclaimer
in-app notice that AI-suggested clauses are for guidance only and require legal review.
Law Society guidelines compliance
firm's AI policy documented and circulated to fee earners.
SRA Code of Conduct
client documents retained for minimum 6 years post-matter close.
LPP isolation
documents in the platform are covered by LPP — no document content visible to platform administrators.
Encrypted at rest
AES-256 per document.
Access audit
every document access logged (who, when, what action) — SRA inspection ready.
Matter isolation
fee earner can only access documents for their own matters or matters they have been explicitly granted access to. e
DocuSign eSignature integration
document sent for signature from platform, signature events tracked, executed document stored back in platform.
Electronic signature validity
- Regulation (EU) No 910/2014 (eIDAS) applies to UK contracts (retained in UK law) — simple electronic signatures valid for most commercial contracts.
- Qualified Electronic Signatures (QES): supported via DocuSign for contracts requiring higher assurance (company articles, land transfers).
The Results
Platform live at 18 weeks, £122,000 — under budget.
Document assembly time: average 4.2 hours → 22 minutes.
Template utilisation: 89% of documents assembled from templates (vs 45% on legacy HotDocs).
Partner review time: reduced 34% (better first-draft quality from AI clause suggestions).
SRA file review: document retention compliance confirmed at 100%.
Law Society AI guidelines: firm's AI policy reviewed and approved by the Professional Ethics committee.
“4.2 hours to 22 minutes per document. For a commercial law firm, that is the productivity story. The AI clause library getting 89% template utilisation versus 45% on HotDocs is the adoption metric that surprised us. Partner review time reduced 34% because the first drafts are better. SRA file review: 100% retention compliance." — Chief Operating Officer, UK Top-20 Commercial Law Firm (name withheld)”
